Image Use License Agreement By uploading any images to this website, you (Licensor) agree to be bound by the following terms with Emerald X, LLC, a Delaware Limited Liability Company (Company). Please read this agreement carefully before proceeding.

1. LICENSE GRANT: By uploading any pictures, photos, drawings, graphics, or other media content, whether tangible or digital (Images), you grant Company a non-exclusive, perpetual, irrevocable, worldwide, royalty-free, transferable license to use, reproduce, adapt, modify, distribute, publicly perform, publicly display, broadcast, make available, store and archive the Images.

2. WARRANTIES AND REPRESENTATIONS. The Licensor warrants that it has the right to grant the license described in this Agreement and that the use of the Images by the Emerald in accordance with this Agreement will not infringe the rights of any third party. You have full power and authority to grant this license;

3. DERIVATIVE WORKS: Company may create, develop, and commercialize derivative works, products, and services that incorporate or use the Images. Company will be the sole and exclusive owner of all right, title, and interest in such derivative works and products, including all associated intellectual property rights. You hereby assign all rights you may have in such derivative works to Company without further compensation.

4. INDEMNIFICATION: The Licensor agrees to indemnify and hold harmless the Emerald from and against any and all third-party claims, liabilities, damages, and expenses (including reasonable attorneys fees) arising out of or in connection with the Emerald's use of the Images for the purposes described in Section 1 of the Agreement.

5. IMAGE ACCEPTANCE: Company may, in its sole discretion, accept or reject any Images for any reason without notice. Images containing personally identifiable information will be rejected. Company reserves the right to remove any previously accepted Images at any time.

5. GOVERNING LAW: This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes shall be resolved exclusively in the federal or state courts located in Wilmington, Delaware, and you hereby consent to the personal jurisdiction of such courts.
