NOTICE OF NORTH AMERICAN MEMBERSHIP MEETING OF THE INSTITUTE OF INTERNAL AUDITORS TO BE HELD ON Sunday, April 16, 2023 at the Disney's Yacht Club Resort in Lake Buena Vista, Florida. North American Members will vote on: Matters to be addressed will include the election of IIA North American Board officers and directors, District Advisors, District Representatives, Canada Advisory Committee members and other appropriate items. All IIA members in the United States, Canada, and Caribbean are invited to attend.

PROXY, NORTH AMERICAN MEMBERSHIP MEETING April 16, 2023.

The undersigned member of The Institute of Internal Auditors, Inc. (“The IIA”), hereby acknowledges receipt of the Notice of North American Membership Meeting of The IIA to be held on April 16, 2023 and appoints Anthony Pugliese (primary proxy) and Tom Sanglier (secondary proxy, if primary is not available), with full power to act individually as my proxy to vote on my behalf at the North American Membership meeting of The IIA to be held on April 16, 2023, and at any adjournment or adjournments thereof, as fully as I could do if personally present at said meeting. Such business will include the election of IIA North American Board officers and directors, District Advisors, District Representatives, and Canada Advisory Committee members. Please submit the completed proxy no later than 11:59 p.m. EDT on April 15, 2023.
