NOTICE OF NORTH AMERICAN MEMBERSHIP MEETING OF THE INSTITUTE OF INTERNAL AUDITORS, INC. ("THE IIA") TO BE HELD ON Sunday, 13 April 2025 at Disney's Yacht Club Resort in Lake Buena Vista, Florida, United States of America. North American IIA members will vote on and matters to be addressed will include the election of The IIA North American Board officers and directors, District Advisors, District Representatives, Canada Advisory Committee members and other appropriate items. All members of The IIA in the United States, Canada, and Caribbean are invited to attend.

The undersigned member of The Institute of Internal Auditors, Inc. (“The IIA”) hereby acknowledges receipt of the Notice of North American Membership Meeting of The IIA to be held on 13 April 2025 and appoints Anthony Pugliese (primary proxy) and R. Michael Varney (secondary proxy, if primary is not available), with full power to act individually as my proxy to vote on my behalf at the North American Membership meeting of The IIA to be held on 13 April 2025, and at any adjournment or adjournments thereof, as fully as I could do if personally present at said meeting. Such business will include the election of The IIA North American Board officers and directors, District Advisors, District Representatives, and Canada Advisory Committee members. Please submit the completed proxy no later than 11:59 p.m. EDT on 12 April 2025.
