TRADE AGREEMENT
The following guidelines shall be followed on any Blackrock Business Group Inc. (“Blackrock”) site (the “Site Policies”).
Subcontractor Conduct
- Our trades and suppliers are expected to conduct their work in the most professional manner possible. Our goal is to have our clients excited to be working with our high-quality trade partners.
- Trades and suppliers agree to carry themselves in a safe, positive and professional manner towards everyone onsite.
- Pride in workmanship is a requirement
- Work is expected to be completed in a timely manner. If you expect your timeline to change,
your Blackrock Job Supervisor must be notified.
- Always ask a Blackrock Job Supervisor to walk you through the details of the task or job prior to beginning. Assume nothing.
- Trades are expected to ask questions if they are in doubt about any aspect of the task.
Jobsite Guidelines
- To maintain a safe and productive worksite, all trade partners and their employees are required to keep their work area and the general job-site in a clean state. All garbage and debris must be cleaned up at a minimum of the end of the work day. Failure to do so may result in the Trade Partners being billed for cleaning at $80/hr plus travel or dismissed and billed for any deficiencies that remain.
- Trade Partners and suppliers agree to not take any direction from Blackrock Client’s without Blackrock’s approval. They must notify the Blackrock Client’s that they are not authorized to complete any of their requests without direction and an approved Change Order from Blackrock. Blackrock will not pay any invoices without an approved PO from Blackrock.
- Work shall be completed in a timely manner. Trades are expected to put in full work days (ie 8am-5pm) when possible. They are expected to be on site and complete their tasks in the most efficient and safe manner possible. Deficiencies shall not be left at each stage.
- Blackrock will holdback a certain portion of a trade/supplier’s invoice amount until the work/ material is inspected or completed in a satisfactory manner. If there are deficiencies or damages, Blackrock will deduct this amount from the invoice.
- Trade Partners are responsible for the workmanship, materials and warranty of their employees and any party they subcontract to complete work on a Blackrock site.
- Trade Partners are expected to supply a warranty on their material and installations in a timely and professional manner. Failure to do so will result in Blackrock billing back or deducting amount from submitted or future invoices, the cost of having a 3rd party complete the warranty item.
Site and Safety Guidelines
- When first arriving onsite all trades and suppliers are expected to fill out a PJHA and review the emergency response plan. Contact a Blackrock representative for the location of the forms
- A PJHA must be completed at each scope of work change
- Other workers (e.g.) contractors, suppliers, self- employed person, or service providers (the “Trade Partners”) and their employees are required to have access to the Occupational Health and Safety Act (the “Act”) in hard copy or electronic format. The Trade Partners shall provide a copy of the Act to my employees upon request.
- Trade Partners shall comply with the Act, the Regulations and the Occupational Health and Safety Code (the “OHS Code”). The act is availble by scanning the PJHA QR code on the rear of the site sign
- Trade Partners shall keep readily available all health and safety information to Blackrock.
- The Trade Partners shall inform their employees and Blackrock of any hazards identified on the worksite.
- The Trade Partners shall, as far as it is reasonably practicable for the Trade Partners to do so, ensure that any equipment is supplied with a written copy of the manufacturer’s specifications and any other instructions for safe use, as applicable, if such specifications and instructions exist.
- The Trade Partners shall ensure that any harmful substance or explosive the Trade Partners supplies is supplied with a written copy of the manufacturer’s specifications and instructions for safe use, if applicable, if such specifications and instructions exists.
- If a Trade Partner is required to make a report or plan under the Act, the Regulations, or the OHS code, the Trade Partner shall ensure that the report or plan is in writing and a paper or downloaded or stored electronic copy of the report or plan is readily available for reference by workers, the joint work site health and safety committee and the health and safety representative, if there is one, at the work site affected by the report or plan. The Trade Partner shall further provide a copy of such plan or report to Blackrock immediately.
- If a Trade Partner is required to develop procedures or to put procedures in place under the Act, the Regulations or the OHS Code, the Trade Partner shall ensure that they are in writing and a paper or downloaded or stored electronic copy of the current procedures is readily available for reference, by the workers, the joint work site health and safety committee and the health and safety representative, if there is one, at the work site affected by the procedures. The Trade Partner shall further provide a copy of such procedures to Blackrock.
- A Trade Partner has a right to refuse dangerous work if it believes on reasonable grounds that there is a dangerous condition at the work site or that the work site or that the work constitutes a danger to its employees’ health and safety or to the health and safety of another worker or another person. The Trade Partner shall promptly report the refusal and the reasons for it to Blackrock.
- No person shall take any discriminatory against another person on the worksite by reasons set out s. 35 of the Act. Blackrock has a zero tolerance for harassment on our work sites. Failure to comply with this may result in the Trade Partners immediate dismissal.
- The Trade Partners shall report any serious injuries and incidents as defined in the Act to Blackrock. The Trade Partner agrees to take note of the time, place and nature of the injury or incidents and report back to Blackrock as soon as possible. The Trade Partners shall work cooperatively with Blackrock to carry out the investigations or such serious injuries or incidents.
- Trade Partners and their employees are required to comply with the Act, the Regulations,
and the OHS Code and have a suitable safety program in place.
- Trade Partners must provide all necessary Safety and Personal Protective Equipment as needed by their workers. The Trade Partners shall ensure that its workers have received appropriate training on the use, care, maintenance and limitations of safety and personal protective equipment prior to use.
- No alcohol or drugs are allowed on site at any time. Failure to comply with this may result in the Trade Partners immediate dismissal.
- All Trade Partners are required to have a first aid kit on site or in their vehicle/job trailer.
- All Trade Partners shall ensure that they have a fire extinguisher onsite, in their truck or in their job trailer
- The Blackrock sign at the front of each project shall be the sites muster point. Trade Partners will ensure their employees are aware of this.
- All Trade Partners and their employees leave tools onsite at their own risk and aren encouraged to remove them each day to minimize our exposure to vandalism and theft.
- In the event that an OH&S officer arrives on site and asks for permission to do an inspection, the Trade Partners shall request that the officer wait until a Blackrock employee can be called and arrive onsite to complete the site inspection with them. The Trade Partner shall not stop the officer from proceeding with their inspection however.
- The Trade Partners shall advise Blackrock should they employ more than 20 employees. The Trade Partners shall have a health and safety program in place in accordance with the Act should they employ more than 20 employees. The Trade Partner shall provide a copy of their health and safety program to Blackrock, if applicable.
- The Trade Partners shall continue to be involved with Blackrock in implementing and following health and safety through hazard assessments and control.
- Trade Partners shall comply with the Act, Regulation, and the OHS Code and Site Policies.
- Trade Partners and their employees at every level must be familiar with the requirements of the Act, the Regulations, and the OHS Code as it relates to their work.
- The Trade Partners shall provide all information with respect to equipment, work site infrastructure or an excavation, and the equipment or infrastructure design, construction, installation or excavation to Blackrock, including but not limited to appropriate permits. The Trade Partners shall ensure they are complying with all responsibilities under the Act, the Regulations and the OHS Code.
- The Trade Partner shall ensure it is not exposing hazards to itself, their employees or any other person from activities at the work site.
- The Trade Partner shall provide “health and safety” information as defined in the Act to Blackrock, including information but not limited to hazards at the work site, hazard controls and work practise and procedures, but does not include personal information about an identifiable individual, confidential proprietary information or trade secrets.
- Trade Partners shall have appropriate WCB coverage in place for themselves and their employees.
Administration Guidelines
- All invoicing must be emailed to admin@blackrockgroup.ca. No invoicing by mail is accepted.
- All invoicing is due immediately after work has been completed. Blackrock reserves the right to not pay invoices billed or received later than 30 days after the work has been completed.
- To maintain accurate accounting, all trade and supplier invoices must have a valid Purchase Order or Change Order number from Blackrock attached to them. There will be no payment on any extras or change orders submitted without one or the other of the above.
- Trades must notify Blackrock of current rates and rate changes in writing prior to job commencement. A rate change on an invoice without written notice will be paid at the prior agreed upon rate.

- If a trade or supplier is removed from a project or job-site due to a failure to comply with one of the above items, Blackrock reserves the right to holdback payment until the work is completed by another party and final costs are determined.
