Scope of Work

The Subcontractor, agrees to provide landscape related services as a subcontractor to Todd’s Enviroscapes, Inc. (The Company). The Subcontractor is committing to The Company to perform specified work and projects relating to landscaping. Specific equipment, materials and/or estimated hours to be committed by The Subcontractor are provided in an addendum hereto and are subject to change based on the necessities of the workflow to be determined by The Company.

Insurance Requirements

o Business Liability Insurance Policy of $1,000,000 ($500,000 or more per occurrence) that lists The Subcontractor and Todd’s Enviroscapes, Inc. as insured against personal injury and property damage to Todd’s Enviroscapes, it’s customers, and employees and to The Subcontractor’s employees or any third party injured or any and all damages caused by subcontractor’s work. (Must provide certificate of coverage for current year listing Todd’s Enviroscapes as additional insured) o Commercial Automobile Liability Insurance Coverage (on titled vehicles only) of $1,000,000 or more. o Worker’s Compensation Insurance Certificate (If you select 'Yes' or 'Possibly' for 'Workers Compensation Coverage' question below). o W-9 form to receive a 1099 Form at the end of the year. Please be advised that I am not required to carry Workers Compensation Coverage in the State of Ohio because I do not have any employees. I acknowledge that if this status changes that I will notify and provide Todd’s Enviroscape’s, Inc. with a Certificate of Coverage from the Bureau of Workers Compensation.


Setup Direct Payments (EFT)

Todd’s Enviroscapes is offering our vendors the option of Electronic Funds Transfer (EFT) when receiving payments for invoices. This payment method will allow us to make payments directly to your bank account, eliminating lost checks and mail delays. A remittance advice will be sent via email when payment is made to your bank account.

General Conditions

Subcontractor has received, understands, and agrees to all the terms and conditions spelled out by project specifications and agreements. Subcontractor agrees to follow all the terms and conditions of the contract. Subcontractor agrees to hold Company harmless for and indemnify Company for any and all losses or liability incurred on account, injury to person or damage to property sustained as a result of acts or omissions, including negligent acts or omissions. This includes any and all damages of any kind caused by subcontractor, its agents or employees, or their equipment. Furthermore, subcontractor agrees on behalf of himself, its heirs, administrators and assigns, its corporation or LLC, its employees, agents and assigns, to release and discharge the Company and Company’s successors, heirs, executors, administrators, employees, agents , and assigns, any and all rights, claims, actions, or causes of action that the Subcontractor or Subcontractor’s employees now have or may have in the future against Company or Company’s successors and assigns arising out of any work performed by Subcontractor or Subcontractor’s agents and employees or Company or Company’s agents or employees. The Subcontractor shall further pay all wages, taxes and other legally required payments promptly when due. The Subcontractor will hold The Company harmless from all taxes, collections and payment responsibilities arising in connection with The Subcontractor’s work hereunder, whether sales, payroll, income or any kind or nature of tax or required payments. Deductions will be made from payments for work that Enviroscapes must perform due to proper service level not being met.

By clicking this box, The Subcontractor agrees to complete and fill out all appropriate paperwork provided by the company in a timely manner. If applicable, time reporting is required to be submitted by 9AM the day following date of service.


By clicking this box, The Subcontractor acknowledges that they understand invoices are to be submitted within 7 days of job completion, unless otherwise required per progressive billing parameters. Invoicing is NOT required for snow services, these will be paid per information entered through Subcontractor Portal only.


Non-Competition / Non-Disclosure Clause

As a condition of this contract The Subcontractor and any of its owners or co-owners agrees that they will not compete with the Company by soliciting (bidding) and/or performing work in landscape or outdoor property maintenance related work or projects for any of the Company’s customers that fall under the scope of this subcontractor relationship for a period of two years following the expiration of this contract or 2 years beyond the last time The subcontractor last worked for the Company. Example: neither the Subcontractor nor any of its owners or co-owners may bid or do work independently or as a subcontractor for any of the Company’s customers who have been in a contract until 24 months after the contract has ended). Furthermore, the Subcontractor shall not disclose any of the Company’s proprietary information including customer list, contract terms, and/or pricing that they have obtained through the work performed pursuant to this contract.

Damage Waiver Clause

The Subcontractor is liable for all damage caused to a customer's property and/or to the equipment or other property belonging to Todd's Enviroscapes. The Subcontractor is to report and document immediately any and all damage seen on a customer's property where they are working and any damage to any of Enviroscapes' equipment used by Subcontractor. Failure to immediately report and document damage will crate an assumption that Subcontractor created the damage. Also, Subcontractor understands that any incidents or accidents that occur while performing services on any property needs to be reported to an Enviroscapes representative immediately. At the end of the project/season, Subcontractor will be subject to a site/equipment inspection to access any damage caused to a property or to Enviroscapes equipment. Any damages will be assessed a monetary value and will be the responsability of the Subcontractor. Specific example: Push boxes should exhibit even wear to the 'shoe.' Push boxes that are operated improperly (unlevel with ground) will require that shoes be replaced more often due to uneven wear. All shoes that exhibit uneven wear will be assessed a fee of $350, which represents the cost of the shoes (prorated for the loss of 1 years use) and labor to replace them. Example 2: Broken curbs, lawn damage, plant damage, fence damage.
