A. DWIC (Dent Wizard International Corporation) DWIC markets and supplies antimicrobial products PermaSafe Clean™ and PermaSafe Shield™ (the Products) manufactured by PermaSafe Protective Coatings, LLC (PermaSafe) and is a licensed distributor. DWIC agrees to furnish the Customer with training of the Customer’s personnel and the necessary supplies and point of purchase materials for the Customer to sell the Products. DWIC shall not be liable for any costs or expenses incurred by the Customer, nor for any bodily injury or property damage claims, nor for any other liabilities of any nature, other than those expressly assumed herein. DWIC has been granted a non-exclusive right by PermaSafe by to use PermaSafe’s name, logo, brands and trademarks for the purpose of advertising and promoting the Products and assigns said right to Customer. B. Customer Customer agrees to follow the instructions and product application procedures (if installed by the Customer) as outlined by DWIC, including additions, deletions and amendments that the Company may furnish from time to time. Customer agrees to hold DWIC and PermaSafe harmless for any claims or liabilities (i) for which the Customer did not properly install the products as required, or (ii) relating to any misconduct, misrepresentation, error, negligent act or omission, or intentional or bad faith act or omission by Customer or one of its employees or agents, or any breach of this agreement, or any other unauthorized act or omission under this agreement, by Customer or one of its employees or agents. Customer agrees to pay to DWIC all required fees as set forth on this order form. Customer agrees to follow all Company instructions concerning remittance checks and/or electronic payments of any such fees. If Customer cancels any submitted order at their direction, Customer agrees to pay 30% of total remittance amount. Customer agrees to notify DWIC if any legal action is commenced against Customer by any customer or any related party relating to the Products, and further agrees that DWIC may elect to have an attorney represent Customer in any such action.
