Effective as of the date of the acknowledgment of consent to this proxy, the member organization for which this proxy is provided (the “Member”) hereby appoints Letha Keslar, or if she is not present at the special meeting of members described below, Josef Keglewitsch, as its proxy, with the full power of substitution, to attend the special meeting of the members of Association for Rubber Products Manufacturers (the "Association") to be held on December 19, 2024, and any continuation or adjournment thereof, and to represent, vote, execute consents, and otherwise act for the Member in the same manner and to the same extent as if a representative of the Member were personally present, with respect to the Member’s voting rights and interests as a Member of the Association. Further, the Member hereby ratifies and confirms all that said proxy may lawfully do or cause to be done by virtue hereof and hereby revokes any proxies heretofore given by the Member to vote as a member of the Association. This Proxy shall remain in effect until revoked in writing by the Member or until such Proxy is no longer valid as provided by law.
