All Members will vote on: Matters to be addressed will include the election of The IIA's Global Board of Directors officers and directors and other appropriate items. All IIA members are invited to attend.

The undersigned member of The Institute of Internal Auditors, Inc. (“The IIA”), hereby acknowledges receipt of the Notice of the Annual Business Meeting of The IIA to be held on 12 July 2023 and appoints Benito Ybarra (primary proxy) and Anthony Pugliese (secondary proxy, if primary is not available), with full power to act individually as my proxy to vote on my behalf at the Annual Business Meeting of The IIA to be held on 12 July 2023, and at any adjournment or adjournments thereof, as fully as I could do if personally present at said meeting. Such business will include the election of IIA Global Board officers and directors. Please submit the completed proxy no later than 11:59 p.m. EDT on 10 July 2023.
