1. Orders & Processing
A valid purchase order (PO) with pricing and process details is required to proceed. Parts without a PO will be held until one is provided.
Lead Time: Standard processing is 10-12 business days. Expedited requests (<10 days) incur additional fees.
Additional Charges: Overtime, special setups, or lot-size adjustments may affect pricing and availability.
2. Pricing & Billing
Minimum Charge: $750 per part number, lot, or color.
Hazardous Materials: $40 disposal fee per shipment (itemized on invoices).
Quotes: Valid for 60 days and subject to sampling. Pricing over one (1) year old is invalid and must be requoted. Heritage reserves the right to reject work or revise pricing.
Packaging: Customer must supply packaging/dunnage. A 5% fee per part number applies if not provided.
Price Adjustments: Heritage may update prices due to changes in labor, materials, or utilities.
3. Payments & Late Fees
Invoices not paid on time incur a 8% late fee, plus an additional 8% every 15 days thereafter.
4. Claims & Returns
Defects: Must be reported in writing within 10 days of delivery. Unreported issues are deemed accepted.
Rejected Products: Must be returned for rework; further processing by the customer waives Heritage’s liability.
Return Shipping: Heritage coordinates returns and covers costs. Customer-coordinated returns are the customer’s responsibility.
5. Shipping & Liability
Containers: Customer-provided containers used for storage/transportation. Damage from their use is the customer’s risk.
FOB: All products are FOB Heritage.
Local Delivery: Flatbed/box truck service within 100 miles at $105/hour (availability-dependent).
6. Warranty & Liability
No Warranty: Heritage disclaims all warranties (express or implied), including merchantability or fitness for purpose.
Limitation of Liability: Heritage’s liability is capped at the total amount paid by the customer. Heritage is not responsible for indirect, incidental, or consequential damages (e.g., lost profits).
Specifications: Failure to provide clear written finishing instructions releases Heritage from liability and may result in extra charges.
7. General Terms
Lien Rights: Heritage may hold merchandise as collateral for unpaid balances.
Force Majeure: Heritage is not liable for delays or failures due to uncontrollable events (e.g., natural disasters).
Governing Law: This agreement is governed by Ohio law.
