Webinar Release Agreement
WHEREAS the Presenter wishes to present at, speak at, or otherwise participate in the Meeting presented, or to be presented, by the University Industry Demonstration
Partnership, Inc. (“UIDP”);
WHEREAS UIDP wishes to make live webcasts, audio, and video recordings of the Presenter, and Presenter’s written or visual material(s) submitted in connection with the Presentation, available to its members and other professionals interested in the topics being covered;
NOW THEREFORE, in consideration of the mutual covenants contained herein, the Presenter agrees as follows:
1. Permission to Record. Presenter understands and grants the UIDP permission to record, duplicate, and/or convert the Presentation, including any written or visual material(s) submitted in connection with the Presentation (“Presentation Materials”). Presenter agrees that UIDP may repurpose the presentation or presentation materials in a web-format or consumable online environment during or after this event, and may use Presenter’s name, likeness, image, voice, appearance and performance, as well as the images or files that may include posters and presentation slides that are a part of Presenter’s Presentation, in such recording or in any media. In the event of technical difficulties, UIDP reserves the right to not release a recording.
2. License. Presenter hereby grants UIDP a perpetual, irrevocable, royalty-free license in and to the Presentation or Presentation Materials, including any images or files within the Presentation, to use, reproduce, alter, copy, exhibit,
sell, distribute, and display for any purpose and Presenter waives any right to any income realized by UIDP or others. UIDP agrees not to materially alter the content of the licensed materials.
3. Publicity. Presenter grants UIDP the permission to use Presenter’s name, likeness, and biography to promote and/or publicize the Presentation and any derivative works of the Presentation or UIDP itself.
4. No Compensation. Presenter will not be compensated by UIDP for the Presentation and/or Presentation Materials.
5. Representations & Warranties. Presenter warrants and represents that (i) Presenter owns all rights or has worldwide, transferable licenses, permission, and clearances necessary to grant the license in Section 2 above; (ii) Presenter holds intellectual property rights sufficient to grant a sublicense to UIDP for any third-party intellectual property contained in the Presentation and Presentation Materials; and (iii) the Presentation and Presentation Materials do not contain any offensive, obscene, defamatory, or otherwise unlawful material.
