You must complete this form and submit it to the Company as a prerequisite to selling or transferring your independent OPTAVIA Coach business to any other OPTAVIA Coach or a third party. SUBMITTING THIS FORM DOES NOT CONSTITUTE THE COMPANY’S AUTHORIZATION FOR THE TRANSFER TO PROCEED. YOU MUST RECEIVE THE COMPANY’S SPECIFIC WRITTEN AUTHORIZATION ALLOWING THE TRANSFER/SALE TO PROCEED. Authorization to sell or transfer an OPTAVIA business is at the Company’s sole discretion and approval by its Policy Committee. Your request is NOT AUTHORIZED until and unless the Company issues its written authorization. If you sell or otherwise transfer the business without the Company’s prior written authorization, the business will be cancelled.

Company’s right of first refusal: OPTAVIA has the right of first refusal to acquire your business under the same terms as you propose to sell or transfer it to another Coach or a third party. You therefore must attach the agreement you have negotiated with the Coach or third party. If the Company does not notify you that it is exercising its right of first refusal within seven (7) business days from the date on which it receives this notice, the Company is not exercising its right of first refusal. Even if the Company does not exercise its right of first refusal, you must nevertheless receive the Company’s prior written authorization to transfer or sell the business before proceeding with the transaction. YOU ACKNOWLEDGE THAT THE COMPANY IS NOT RESPONSIBLE TO PROVIDE YOU ADVICE OF ANY NATURE WITH RESPECT TO THE PROPOSED TRANSACTION. THE SOLE PURPOSE OF PROVIDING THE COMPANY WITH THE PROPOSED AGREEMENT BETWEEN YOU AND THE PROPOSED TRANSFEREE/BUYER IS TO ALLOW THE COMPANY TO DETERMINE IF IT WISHES TO EXERCISE ITS RIGHT OF FIRST REFUSAL.
