Request a Non-Disclosure Agreement or Materials Transfer Agreement

Thank you for your entry of the NDA or MTA. Upon receipt of submission, IPP will contact the entity within 3-5 business days to begin negotiation. We ask that the requesting PI plan accordingly as agreement negotiation typically takes 2 weeks to allow for initial contact, negotiation, and execution with the identified entity.


Multi-Party NDAs take significantly longer to negotiate.


A listing of currently active and in negotiation/ready to sign NDAs are viewable in the Contract Management section of the IPP Lab-Wide Dashboard on ServiceNow. If there is already a NDA in place and you would like to determine if your scope is covered, please contact nda@ameslab.gov.

Definitions of the NDA and MTA Agreements:


CDA - Confidentiality Disclosure Agreement is used for Ames Laboratory Team Reviews or Committees.


NDA - Non-Disclosure Agreement is used when an entity is interested in having discussions regarding the possibility of a future research and/or business relationship that may require the entity and AMES to disclose to each other proprietary and confidential information.


MTA - Materials Transfer Agreement is a contract that is negotiated between AMES and a Partner in for the transfer of tangible research materials when the recipient intends to use it for research purposes. The contract defines the rights of the provider and the recipient with respect to materials and derivatives.

3. Will a foreign national from the partnering entity have access to the Ames National Laboratory site, information, and/or technology?*

DOE Directive 142.3B requires Ames to follow specific procedures and to place certain limits on the access of foreign nationals to Ames’ site, information, and technology. Ames Laboratory is required to review the county citizenship and affiliation of the entity's research staff who will be involved in the discussions when non-public information (e.g. confidential, unpublished, detailed information, and/or information that cannot be found through an internet search) is shared. If you are unsure, please mark yes to ensure security of Ames Laboratory information.

5. To the best of your knowledge, will any Ames Laboratory employees who are foreign nationals have access to the information that is disclosed to Ames?*

Why is this important? Some companies have clauses that request to restrict information shared with foreign nationals. The answer to this question will assist IPP in determining if additional review or handling is needed.
