Request a Non-Disclosure Agreement or Materials Transfer Agreement

Thank you for your entry of the NDA or MTA. Upon receipt of submission, IPP will contact the entity within 3-5 business days to begin negotiation. We ask that the requesting PI plan accordingly as agreement negotiation typically takes 2 weeks to allow for initial contact, negotiation, and execution with the identified entity.


Multi-Party NDAs take significantly longer to negotiate.


A listing of currently active and in negotiation/ready to sign NDAs are viewable in the Contract Management section of the IPP Lab-Wide Dashboard on ServiceNow. If there is already a NDA in place and you would like to determine if your scope is covered, please contact nda@ameslab.gov.

 

Definitions of the NDA and MTA Agreements:


CDA - Confidentiality Disclosure Agreement is used for Ames Laboratory Team Reviews or Committees.


NDA - Non-Disclosure Agreement is used when an entity is interested in having discussions regarding the possibility of a future research and/or business relationship that may require the entity and AMES to disclose to each other proprietary and confidential information.


MTA - Materials Transfer Agreement is a contract that is negotiated between AMES and a Partner in for the transfer of tangible research materials when the recipient intends to use it for research purposes. The contract defines the rights of the provider and the recipient with respect to materials and derivatives.
